Position Purpose
Under the overall supervision of the General Counsel, and the direct, day‑to‑day supervision of the Deputy General Counsel, the Associate Counsel provides legal advice in relation to BSTDB’s lending and investment operations. In doing so, the guiding objective is to uphold best practices throughout BSTDB, to safeguard its interests, and enhance its overall operational efficiency.
Key Functions and Responsibilities
- Provides general legal advice in order to ensure the best protection of BSTDB’s interests.
- Facilitates and enhances the business of BSTDB with appropriate legal input and support on all lending and investment operations, including reviews of facility/loan documentation and negotiations with counterparties and professional advisors.
- Collaborates effectively with, and is responsive to the reasonable requirements of, other departments in order to increase the overall efficiency and productivity of BSTDB.
- Maintains knowledge of all legal and regulatory developments which might affect BSTDB in order to ensure that it keeps up with the best practices of its peer institutions and that its overall position is as protected and legally safeguarded as possible.

Required Knowledge, Experience and Skills
- Either (i) a bachelor’s degree in law, or (ii) a bachelor’s degree in any subject followed by a postgraduate conversion qualification in law.
- Must be admitted to practice law in any BSTDB Member State, any EU Member State, any state in USA or in any other civil or common law jurisdiction prominent in global finance.
- At least 8 years of post-qualification transactional legal experience, gained in either: (i) the legal department of a prominent financial institution, or (ii) an international development financial bank, or (iii) a law firm which routinely advises on cross-border financial transactions, or (iv) the legal department of a prominent multinational company.
- Exposure to large scale international financial transactions to include project and structured financings, secured and unsecured bilateral and syndicated loans; preparation and negotiation of the facility/loan documentation, rescheduling loans, and other activities characteristic of international banking.
- Hands‑on experience in the day‑to‑day management of the legal aspects of cross‑border financing transactions.
- Participation in cross disciplinary transaction teams.
- Experience in the selection, appointment and management of external law firms.
- Excellent English with demonstrated ability to draft legal documentation.
- Excellent knowledge of Microsoft packages.
- Ability to communicate and interact with internal and external counterparties at all levels and to present appropriate legal solutions.
- Strong negotiation skills with the ability to balance firmness and diplomacy.
Desirable Knowledge, Experience and Skills
- Some knowledge of the legal framework within which multilateral institutions operate and their relationship with national authorities.
- An understanding of the legal aspects of BSTDB’s operations, activities, policies and operating procedures.
- Working knowledge of prevailing international anti-money laundering, sanctions and compliance regimes.
- Experience working in an international development financial institution or as external counsel on transactions involving, or instructed by, international development financial institutions.
- Experience of equity participation transactions and related corporate investments structures.
- Experience gained in any BSTDB Member State.
- Good working knowledge of a language of any BSTDB Member State.
- Ability to manage clients and operate under pressure in time sensitive scenarios.
Minimum Qualification Requirements
For a candidate to participate in the competitive selection for this position, s/he must meet at least the following minimum requirements:
Education: Either (i) a bachelor’s degree in law, or (ii) a bachelor’s degree in any subject followed by a postgraduate conversion qualification in law.
Experience: At least 8 years of relevant legal experience, gained in either: (i) the legal department of a prominent financial institution, or (ii) an international development financial bank, or (iii) a law firm which routinely advises on cross border financial transactions, or (iv) the legal department of a prominent multinational company.
Professional Admission: Must be admitted to practice law in any BSTDB Member State, any EU Member State, any state in USA or in any other civil or common law jurisdiction prominent in global finance.
